ITOS LABS / WEBSITE TERMS OF USE
Website Terms of Use
Last updated: 2 November 2026
These terms govern the public ITOS Labs website, product information and demonstration enquiries. Production access to ITOS, implementation, support, fees, service levels and customer data are governed by the applicable signed customer agreement, order form and data-processing terms.
1. Company and acceptance
This website is operated by ITOS Labs Private Limited (CIN: U62013DC2026PTC473882) ("ITOS Labs", "we", "us" or "our").
By accessing or using this website, you agree to these terms. If you use the website for an organisation, you represent that you are authorised to act for it. If you do not agree, do not use the website.
2. Scope and priority of customer agreements
These are website terms—not the full contract for the ITOS software service. If you or your organisation has signed a master services agreement, subscription agreement, order form, statement of work, data-processing agreement or other written agreement with ITOS Labs, that agreement controls to the extent of any conflict concerning the relevant services.
No website statement changes an authorised signed agreement or creates a service level, warranty, security certification, integration commitment, implementation obligation or price.
3. Website licence
Subject to these terms, ITOS Labs grants you a limited, revocable, non-exclusive, non-transferable right to view and use the public website for lawful business information and evaluation. No other licence or ownership right is granted.
4. Product descriptions, previews and sample data
Descriptions, screenshots, interface previews, diagrams and workflows explain the intended capabilities and design of ITOS. They may use sample data and may reflect a particular release, configuration or planned direction. Actual availability, behaviour and appearance may vary by release, customer configuration, permissions, implementation scope and signed agreement.
Roadmaps, future-looking statements and demonstrations are informational only unless an authorised written agreement expressly includes them.
5. Demonstrations and commercial discussions
A request, email, meeting, proposal or demonstration does not by itself create a customer relationship or bind either party to buy, sell or implement a service. A binding commitment requires an agreement signed by authorised representatives and, where applicable, an order form defining scope, price, taxes, term and responsibilities.
Do not send production credentials, unrestricted database exports, identity documents, payment-card data or unnecessary confidential information through the public enquiry email.
6. Access to app.itoslabs.com
The application at app.itoslabs.com is for users authorised by an ITOS Labs customer or by ITOS Labs. Users must keep credentials confidential, use only the access assigned to them, comply with customer instructions and notify the relevant administrator or ITOS Labs promptly of suspected compromise.
You must not share accounts, impersonate another user, circumvent tenant, role, visibility or branch controls, or access records outside your authorised scope. Application access may be suspended where reasonably necessary to protect security, comply with law or enforce the applicable customer agreement.
7. Acceptable use
You must not:
- use the website or linked application unlawfully, fraudulently or to infringe another person's rights;
- probe, scan, test or bypass security or access controls without prior written authorisation;
- introduce malware, automated abuse, excessive traffic or content that may damage or disrupt systems;
- scrape, copy, reverse engineer or attempt to extract source code, models, non-public interfaces or data except where applicable law expressly permits and cannot be excluded;
- misrepresent an association with ITOS Labs or use website content to make false, deceptive or unauthorised claims; or
- use contact details for spam, unsolicited bulk communication or harassment.
8. Intellectual property
ITOS, the ITOS name and identity, software, interfaces, workflows, documentation, website design, text, graphics and other materials are owned by ITOS Labs or its licensors and are protected by applicable intellectual-property laws. All rights not expressly granted are reserved.
You may not reproduce, modify, publish, sell, sublicense or create derivative commercial materials from our content without prior written permission, except for ordinary browser caching, internal evaluation copies, or use expressly allowed by law.
9. Feedback
If you voluntarily provide non-confidential feedback or suggestions, you grant ITOS Labs a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or payment. This does not transfer ownership of your pre-existing confidential information or personal data.
10. Privacy
Our Privacy Notice explains how we handle personal data associated with the website, enquiries and business relationships. Customer-controlled data in ITOS is additionally governed by the applicable customer agreement and data-processing terms.
11. Third-party services and links
The website or ITOS may link to or interoperate with third-party services. Those services are controlled by their respective providers and may have separate terms, fees, availability and privacy practices. A link or reference does not imply endorsement, partnership or responsibility unless expressly stated in writing.
12. Availability and disclaimers
The public website is provided on an "as available" basis. We aim to keep information useful and current but do not warrant that the website will be uninterrupted, error-free, secure against every threat, or complete at all times.
To the maximum extent permitted by law, we disclaim implied warranties concerning the public website, including merchantability, fitness for a particular purpose and non-infringement. The website is general business information and is not legal, accounting, tax, insurance, transport-compliance or other professional advice. Nothing excludes a warranty or responsibility that applicable law does not permit us to exclude.
13. Limitation of liability
To the maximum extent permitted by law, ITOS Labs and its directors, officers, employees and suppliers will not be liable for indirect, incidental, special, punitive or consequential loss, or loss of profits, revenue, goodwill, anticipated savings, business opportunity or data, arising from use of the public website or reliance on its general content.
For claims governed only by these website terms, aggregate liability will not exceed the greater of (a) INR 10,000 and (b) the amount, if any, paid specifically for access to the public website during the twelve months before the event giving rise to the claim. This website cap does not replace a liability regime agreed for production ITOS services. It does not apply where liability cannot lawfully be limited, including liability arising from fraud or wilful misconduct to the extent applicable law so requires.
14. Indemnity for misuse
To the extent permitted by law, you will indemnify ITOS Labs against third-party claims, losses and reasonable costs resulting from your unlawful use of the website, deliberate security violation, infringement caused by material you submit, or material breach of these terms. ITOS Labs will provide reasonable notice and control of the defence, subject to your cooperation.
15. Suspension and termination
We may restrict or terminate access to the website where reasonably necessary for security, maintenance, legal compliance or a material breach of these terms. Provisions concerning intellectual property, disclaimers, liability, indemnity, governing law and general interpretation survive termination to the extent necessary.
16. Governing law and courts
These website terms are governed by the laws of India. Before filing a claim, the parties should attempt in good faith for thirty days to resolve it through written notice, unless urgent interim relief is reasonably required. Subject to applicable mandatory law, courts at New Delhi, India will have exclusive jurisdiction over disputes governed only by these terms.
17. Changes
We may update these terms to reflect changes in the website, our services or applicable law. Revised terms take effect when posted, unless a later date is stated. Material changes will be identified by the updated date on this page. Continued use after the effective date constitutes acceptance of the revised terms.
18. General terms
If a provision is held invalid or unenforceable, it will be limited to the minimum necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign rights under these website terms without our written consent; ITOS Labs may assign them in connection with a merger, restructuring or transfer of the relevant business. These terms, together with the Privacy Notice, are the entire agreement concerning use of the public website, subject to any signed customer agreement described above.
